1. Introduction and Acceptance of Terms
These Terms of Service (the "Terms") constitute a legally binding agreement between you, whether acting on your own behalf or on behalf of a minor child, and Maple Grove Education Studio Ltd. ("Maple Grove Education Studio Ltd.", "we", "us", or "our"). These Terms govern your access to and use of our academic tutoring, small-group learning workshops, study skills coaching, creative enrichment programs, test preparation support, educational consulting for families, and after-school learning sessions (collectively, the "Services").
By registering for, booking, accessing, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our policies referenced herein, and any program-specific rules, schedules, or waivers provided to you. If you do not agree, you must not use the Services.
If you are entering into these Terms on behalf of a minor, you represent and warrant that you are the parent, legal guardian, or otherwise authorized representative of that minor and that you accept these Terms on their behalf.

We may modify, expand, suspend, or discontinue any Service at any time, subject to any pre-existing booking commitments and applicable law. We do not guarantee particular academic outcomes, grades, test results, admissions decisions, or other performance metrics.
Any educational advice or guidance provided through the Services is intended for general informational and instructional purposes only and should not be treated as a substitute for professional advice from licensed professionals where such advice is required.
3. User Obligations and Responsibilities
You agree to use the Services responsibly and in accordance with these Terms, all applicable laws, and any rules communicated by us. Without limiting the foregoing, you agree that you will:
- provide accurate, current, and complete information when registering, booking, or communicating with us;
- ensure that children under your care are supervised appropriately outside scheduled Service times and are dropped off and picked up promptly, where applicable;
- arrive on time for sessions and ensure attendance in the manner required for the relevant program;
- inform us in advance of any relevant medical, behavioral, accessibility, allergy, or learning support needs that may affect participation;
- respect staff, instructors, other participants, and our premises, equipment, and materials;
- not disrupt sessions, harass others, damage property, or engage in unsafe conduct;
- follow all program rules, safety instructions, and reasonable requests made by our personnel;
- obtain and maintain any required devices, internet access, software, stationery, or other materials needed for participation in online or hybrid Services;
- not record, reproduce, distribute, or share sessions, materials, or communications without our prior written consent, except where permitted by law;
- not use the Services for unlawful, fraudulent, abusive, or unauthorized purposes.
You are responsible for monitoring your own or your child’s participation and for reviewing any homework, exercises, or materials provided. If you are concerned about learning progress, well-being, or program fit, you should communicate promptly with us.
4. Payment Terms and Conditions
Fees for the Services will be communicated before enrollment, booking, or purchase and may vary by program type, duration, format, and required materials. Unless otherwise stated in writing, all fees are in Canadian dollars (CAD).
By submitting a booking or making payment, you authorize Maple Grove Education Studio Ltd. to charge the applicable fees using the payment method you provide. You represent that you are authorized to use that payment method.
Unless otherwise agreed in writing:
- payment is due in full before the start of the relevant session, package, term, or program;
- we may require a deposit, prepayment, or recurring payment arrangement;
- late payments may result in suspension of Services until all outstanding amounts are paid;
- you are responsible for any returned payment charges, chargeback fees, collection costs, or bank fees incurred due to failed or reversed transactions, to the extent permitted by law;
- taxes, including applicable HST/GST or other sales taxes, will be added where required by law.
We reserve the right to update our pricing, payment methods, and billing procedures at any time for future Services. Any changes will not affect fees already paid for confirmed bookings unless required by law or expressly stated otherwise.
5. Cancellation and Refund Policy
Because our Services involve reserved instructor time, scheduled spaces, and individualized preparation, cancellations and refunds are subject to this policy unless a separate written program policy applies.
- Single sessions: Cancellations made with at least 24 hours’ notice before the scheduled start time may be eligible for a rescheduled session or credit, at our discretion. Cancellations made with less than 24 hours’ notice, or failure to attend, are generally non-refundable and non-creditable.
- Workshops, group programs, and after-school sessions: Cancellations may be subject to a partial refund or credit only if requested before the stated registration deadline or, if no deadline is stated, at least 7 days before the start date, less any non-recoverable administrative or material costs.
- Packages and term-based services: Refunds for unused sessions may be considered on a pro-rated basis, less any completed sessions, applicable discounts, administrative fees, and any non-refundable materials or third-party costs.
- Missed sessions: Missed sessions due to illness, travel, scheduling conflicts, or other personal reasons are not automatically refundable. Make-up sessions may be offered at our discretion and subject to availability.
- Our cancellations: If we cancel a session and cannot reasonably reschedule it, you will generally receive a refund or credit for the cancelled portion, subject to applicable law and the terms of any program-specific agreement.
Refunds, if approved, will be issued using the original payment method where practicable, within a reasonable time after approval. This policy does not limit any non-waivable rights you may have under applicable consumer protection laws in Canada or Ontario.
6. Liability Limitations
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. While we strive to provide high-quality educational support, we do not warrant that the Services will be uninterrupted, error-free, or suitable for every individual learner.
To the fullest extent permitted by law, Maple Grove Education Studio Ltd., its directors, officers, employees, contractors, instructors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of opportunities, loss of data, or reputational harm, arising out of or relating to the Services or these Terms.
Without limiting the foregoing, we are not responsible for:
- academic outcomes, grades, test scores, admissions decisions, or other educational results;
- injuries, losses, or damages caused by a participant’s failure to follow instructions or safety rules;
- loss or damage to personal property brought to our premises or used during the Services;
- issues caused by third-party platforms, internet providers, payment processors, or software tools;
- statements, behavior, or actions of other participants or third parties outside our reasonable control.
Where liability cannot be excluded under law, our total aggregate liability for any claim arising out of or relating to the Services or these Terms shall be limited to the amount paid by you to us for the specific Service giving rise to the claim during the three (3) months preceding the event giving rise to the claim, except to the extent such limitation is prohibited by law.
Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, including liability for gross negligence, willful misconduct, or other liability that may not be waived under Canadian law.
7. Intellectual Property Rights
All content, materials, lesson plans, worksheets, exercises, presentations, designs, logos, text, graphics, videos, methodologies, and other intellectual property made available by Maple Grove Education Studio Ltd. in connection with the Services are owned by us or our licensors and are protected by applicable copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms and full payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the materials solely for personal, non-commercial educational purposes by the enrolled participant(s).
You may not, without our prior written consent:
- copy, reproduce, modify, translate, publish, distribute, sell, license, or create derivative works from our materials;
- share materials with third parties outside your household or enrolled participants;
- record sessions or capture materials where recording is prohibited;
- remove copyright notices or proprietary markings.
Any feedback, suggestions, or ideas you provide to us may be used by us without restriction or compensation, provided such use is lawful.

Where we use third-party tools or online platforms, personal information may be processed outside your province or Canada. By using our Services, you consent to such processing to the extent necessary to deliver the Services and operate our business, subject to applicable law.
We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

9. Force Majeure
Maple Grove Education Studio Ltd. shall not be liable for any delay or failure to perform any obligation under these Terms where such delay or failure results from events beyond our reasonable control, including without limitation acts of God, fire, flood, severe weather, pandemic, public health emergency, labor disputes, power outages, telecommunications failures, government orders, civil unrest, transportation disruptions, or failures of third-party service providers.
In the event of force majeure, we may suspend, reschedule, modify, or cancel affected Services as reasonably necessary. We will make reasonable efforts to notify you and, where appropriate, arrange a credit, alternative session, or other suitable remedy, subject to availability and applicable law.
10. Changes to Terms
We may update or revise these Terms from time to time to reflect changes in our Services, business practices, or applicable law. The updated Terms will be posted or otherwise made available with a revised effective date.
Where required by law, we will provide advance notice of material changes. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them or the Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

No failure or delay by us in exercising any right, remedy, or power under these Terms shall operate as a waiver of that right, remedy, or power.
